Competition Bureau Requires Divestiture in Consent Agreement with Clean Harbors

OTTAWA, July 27, 2009 — The Competition Bureau announced today that it has reached an agreement with Clean Harbors, Inc. in respect of the proposed acquistion of Eveready, Inc. requiring the divestiture of Eveready’s Pembina Area Landfill, located two hours west of Edmonton.

The Bureau concluded that the proposed transaction would likely substantially lessen or prevent competition in Class I solid hazardous waste disposal in Alberta. The Bureau was concerned that, among other things, the transaction could result in higher prices for solid hazardous waste disposal, as Clean Harbors would have owned the only two Class I hazardous waste landfills in Alberta.

"The Bureau is very pleased with this outcome," said Melanie Aitken, Interim Commissioner of Competition. "The required sale will preserve competition for the landfill disposal of solid hazardous waste in Alberta."

Clean Harbors, Inc. is a US-based company that provides environmental waste services in North America. Eveready is an Alberta-based company that provides industrial maintenance, production and environmental services to the energy, resources and industrial sectors, primarily in Alberta.

The full text of the consent agreement filed with the Competition Tribunal will be available on the Tribunal’s Web site once registered.
